LEGALLY BINDING AGREEMENT — BY CREATING AN ACCOUNT OR USING CAMPAID YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICES.
We are Ugig LLC., doing business as Campaid ("Company," "we," "us," "our"), a company registered in Alabama, United States at 1502 12th St S, Birmingham, AL 35205. We operate the website https://campaid.net (the "Site"). Campaid is a peer-to-peer digital marketplace connecting Hirers with Taskers. You can contact us at support@campaid.net or (470) 899-8989.

1. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law. The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.). Campaid is available only in the United States. Campaid connects Hirers (users seeking help with tasks) with Taskers (verified student service providers), and separately operates a Ticket Counter and Goods Marketplace for peer-to-peer buying and selling between campus community members.
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), as well as trademarks, service marks, and logos ("Marks"). Our Content and Marks are provided "AS IS" for your personal, non-commercial use only.
Your use of our Services
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content solely for your personal, non-commercial use. No Content may be copied, reproduced, sold, or exploited for any commercial purpose without our express prior written permission.
Your submissions and contributions
By sending us any Submissions, you agree to assign to us all intellectual property rights therein. When you post Contributions, you grant us an unrestricted, irrevocable, perpetual, royalty-free, worldwide license to use, copy, distribute, sell, and exploit your Contributions for any purpose. You are responsible for what you post or upload. By posting any task deliverable, listing, or content through the platform, you represent and warrant that you hold all intellectual property rights necessary to grant the foregoing license and that your content does not infringe any third-party rights.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to comply with these Legal Terms; (4) you are at least 18 years of age; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.
4. USER REGISTRATION
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username that we determine to be inappropriate, obscene, or otherwise objectionable. You must notify support@campaid.net within twenty-four (24) hours of any suspected unauthorized use of your account.
5. PURCHASES, PAYMENT & ESCROW
All payments on Campaid are processed exclusively through Stripe. By making a purchase, you authorize Stripe to charge your payment method. You agree to provide current, complete, and accurate payment and account information for all purchases. Sales tax will be added where required. All payments shall be in U.S. dollars. Campaid does not store or process card or bank account numbers; all card and bank data is collected and held by Stripe (PCI-DSS Level 1).
Stripe Connect requirement: To list a ticket on the Ticket Counter, list an item on the Goods Marketplace, or receive earnings as a Tasker, you must complete Stripe Connect bank verification. Browsing, posting tasks as a Hirer, and submitting offers do not require bank verification. Refusal or failure to complete Stripe Connect when required disables the corresponding marketplace actions on your account.
Escrow: For Ticket Counter and Goods Marketplace transactions, buyer funds are placed in platform-hold escrow at checkout. After the seller marks the item as delivered, the buyer has a twelve (12) hour universal buyer confirmation window to confirm receipt, report a problem, or open a dispute. If the buyer takes no action within that window, funds auto-release to the seller via an automated process. This twelve (12) hour window applies uniformly to both Ticket Counter and Goods Marketplace and supersedes any prior reference to 24-hour, 48-hour, or 72-hour windows. For Gigs, hirer confirmation of task completion triggers the manual Stripe transfer to the Tasker's connected account. Disputes opened within the confirmation window suspend auto-release and route to the Campaid dispute-resolution process (see Section 18 and the Refund Policy).
6. REFUND POLICY
Refund eligibility varies by product:
- Task Marketplace: Full automatic refund (including the 12% platform fee) if the Hirer cancels before the Tasker has marked work as started. If the Tasker cancels after the Hirer has paid, the Hirer receives a full automatic refund and the Tasker receives a strike on their reliability record. Once work has started, refunds are dispute-only at Campaid admin discretion.
- Ticket Counter and Goods Marketplace: Full automatic refund to the buyer if the seller cancels before marking delivery. Buyers may open a dispute within the twelve (12) hour confirmation window for invalid, misrepresented, counterfeit, or undelivered items. If no dispute is opened within the confirmation window, funds auto-release to the seller and the transaction is final.
- Platform service fees are non-refundable except where an automatic full refund is issued as described above, or where applicable law expressly requires a refund.

7. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- Systematically retrieve data from the Services to create a database or directory without written permission.
- Trick, defraud, or mislead us and other users, especially to learn sensitive account information.
- Circumvent, disable, or otherwise interfere with security-related features of the Services.
- Use any information obtained from the Services to harass, abuse, or harm another person.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Upload or transmit viruses, Trojan horses, or other malicious material.
- Engage in any automated use of the system, including scripts or data mining.
- Attempt to impersonate another user or person.
- Request or accept payments off-platform (e.g., Venmo, CashApp, Zelle, PayPal, or cash). Any confirmed off-platform payment attempt forfeits all platform protections and mediation rights, results in a permanent ban, and may subject you to a $50.00 USD liquidated damages fee per occurrence (see Section 39).
- Post or request tasks that promote academic dishonesty, including completing homework, taking exams, or writing papers for another student.
- Post or request tasks involving alcohol, tobacco, illegal drugs, firearms, or controlled substances.
- Sell, offer, or attempt to sell counterfeit, forged, or stolen event tickets.
- Post tasks requiring specialized professional licenses or tasks involving extreme physical danger.
- Request or provide tasks involving care of minors, elderly individuals, or vulnerable adults.
- List or attempt to sell speculative tickets you do not physically possess.
- Engage in review manipulation, fake gigs, collusion, or any scheme to artificially transfer funds.
- Initiate fraudulent chargebacks after a task has been successfully completed or a valid ticket/item delivered.
- Provide false Taxpayer Identification Numbers (TIN/SSN/EIN) to Campaid or Stripe.
- File tax returns falsely claiming to be an employee of Ugig LLC or Campaid.
- Violate UAB rules, regulations, or codes of conduct, including unauthorized access to restricted buildings.
Automated monitoring consent: By using Campaid you acknowledge and consent that (a) all in-platform messages are scanned in real time for off-platform payment patterns (Venmo, CashApp, Zelle, PayPal, phone-number formats), and detection triggers an inline warning, an admin alert, and may flag or suspend the account; (b) every new ticket and marketplace listing is automatically assigned a risk score based on account age, prior listing and dispute history, and price relative to category norms — listings exceeding the high-risk threshold may be suppressed or removed pending review, with appeals available via support@campaid.net; and (c) two confirmed user reports on the same listing automatically hide that listing pending review.
Background Check Disclaimer: While Campaid may use third-party agencies (e.g., Checkr) for voluntary background checks, we do not guarantee the accuracy of those reports. A cleared background check is not a guarantee of safety. Campaid explicitly disclaims liability for the actions of any user regardless of background check results.
Assumption of Risk & Release: By using Campaid, you acknowledge that interacting with strangers involves inherent risks including property damage, bodily injury, theft, or emotional distress. To the maximum extent permitted by law, you hereby release Ugig LLC, its founders, officers, and affiliates from all claims arising out of disputes between users or the performance of tasks.
8. USER GENERATED CONTRIBUTIONS
The Services may invite you to chat, contribute to, or participate in blogs, message boards, or online forums. Any Contributions you transmit may be treated as non-confidential and non-proprietary. When you create or make available any Contributions, you represent and warrant that they are accurate, not misleading, not unsolicited advertising, not obscene or harassing, and do not violate any applicable law, regulation, or the rights of any third party.
9. CONTRIBUTION LICENSE
By posting your Contributions to any part of the Services, you automatically grant to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, sell, publish, broadcast, translate, and distribute such Contributions for any purpose, commercial or otherwise. You retain ownership of your Contributions and any associated intellectual property rights, subject to the license granted herein.
10. GUIDELINES FOR REVIEWS
When posting a review, you must comply with the following: (1) you should have firsthand experience with the person being reviewed; (2) your reviews should not contain offensive, racist, or hateful language; (3) your reviews should not contain references to illegal activity; (4) you may not post false or misleading statements; and (5) you may not organize campaigns encouraging others to post reviews. We may accept, reject, or remove reviews in our sole discretion. Review manipulation or fake reviews constitute a material breach of these Terms and may result in immediate account termination.
11. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to third-party websites and content. Such third-party content is not investigated, monitored, or checked for accuracy by us. Inclusion of, linking to, or permitting the use of any third-party websites or content does not imply approval or endorsement thereof by us. We are not responsible for any loss or damage caused by your use of any third-party services.
12. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable any of your Contributions; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
13. PRIVACY POLICY & THIRD-PARTY SERVICE PROVIDERS
We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy (campaid.net/legal-center), which is incorporated into these Legal Terms. The Services are hosted in the United States. If you access the Services from any other region, through your continued use you consent to have your data transferred to and processed in the United States.
Third-Party Service Providers: Campaid relies on the following third-party service providers. Use of Campaid constitutes acknowledgement that your data may be processed by these providers in accordance with the Privacy Policy and the providers' own terms and privacy policies:
- Vercel — edge hosting, deployment, static asset delivery
- Supabase — PostgreSQL database, authentication, storage, realtime messaging
- Stripe / Stripe Connect — payment processing, escrow, payouts, 1099-K tax reporting
- Resend — transactional email delivery
- Google Analytics GA4 — aggregate analytics (property ID G-7E7JJDEMSB)
- Google Maps API — location services on listings and task posts
- Sentry — error monitoring and session replay for debugging
- Twilio — SMS delivery (currently built but disabled; activates when credentials are configured)
- Checkr — consumer reporting agency for background checks (currently built but not live)
- Microsoft 365 / OneDrive / SharePoint / Teams — internal workspace and document storage
14. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY
We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify our Designated Copyright Agent: Nesan Siva — Attn: Copyright Agent — 1502 12th St S, Birmingham, AL 35205 — support@campaid.net. We will promptly investigate all valid DMCA notices and take appropriate action including removal of infringing content and, for repeat infringers, account termination.
15. TERM AND TERMINATION
These Legal Terms shall remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. If we terminate or suspend your account, you are prohibited from registering a new account under any name, fake or borrowed, or otherwise continuing to use the Services through a third party's account. Termination of your account does not relieve you of any obligation to pay amounts owed.
16. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services. Material changes to these Terms — including changes to fee structure, dispute resolution, arbitration, or liability limits — will be notified to registered users via email no fewer than thirty (30) days before the change takes effect. Continued use of the Services after the effective date constitutes acceptance.
17. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Alabama applicable to agreements made and to be entirely performed within the State of Alabama, without regard to its conflict of law principles. The exclusive venue for any dispute not subject to arbitration under Section 18 is the state or federal courts located in Jefferson County, Alabama, and you hereby consent to personal jurisdiction in those courts.
18. DISPUTE RESOLUTION
Informal Negotiations
The Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party at the addresses set forth in Section 40.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. The arbitration shall be conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA) in Jefferson County, Alabama. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Restrictions
There is no right or authority for any Dispute to be arbitrated on a class-action basis or to be brought in a purported representative capacity on behalf of the general public or any other persons. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
Statute of Limitations
ANY CAUSE OF ACTION ARISING OUT OF YOUR USE OF CAMPAID OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUED, OR SUCH CLAIM IS PERMANENTLY AND IRREVOCABLY BARRED. This limitation applies to all claims, including contract, tort, fraud, and statutory claims.
19. CORRECTIONS
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors and to change or update information on the Services at any time, without prior notice.
20. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES.
21. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF (A) THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT OR (B) $100.00 USD.
Force Majeure: Campaid shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God; acts of government; internet or telecommunications outages; failures of third-party service providers (including Stripe, Supabase, Vercel, Resend, or Twilio); civil unrest; pandemics; or any other cause beyond our reasonable control. In such events, our obligations are suspended for the duration of the force majeure event.
22. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Ugig LLC, including its subsidiaries, affiliates, and all of our respective officers, agents, partners, founders, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including intellectual property rights; (6) any overt harmful act toward any other user of the Services; (7) any tax liability, regulatory action, penalty, or governmental claim arising from your failure to properly report, withhold, or remit taxes on your earnings through the platform; (8) any claim by a third party that goods or tickets you sold through the platform were counterfeit, stolen, fraudulent, or otherwise misrepresented; and (9) any personal injury, property damage, or other harm arising from an in-person meeting you arranged through the platform. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.
23. USER DATA, RETENTION & PRIVACY RIGHTS
We will maintain certain data that you transmit to the Services for the purpose of managing performance of the Services. Although we perform regular routine backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.
Data Retention: Transaction records (including those required for taxation purposes) are retained for no less than seven (7) years. When an account is deleted or banned, a point-in-time archive is produced for legal and audit purposes. For accounts with no associated financial history (no Stripe transactions, no completed tasks, no payouts), personally identifiable information is purged no later than thirty (30) days after deletion, except where retention is required by law (for example, where a dispute, chargeback, fraud investigation, or subpoena is active).
Data Subject Access Requests (DSAR): Users may request a copy of the personal information Campaid holds about them, and may request correction or deletion, by contacting support@campaid.net from the email address associated with the account. Requests are processed within thirty (30) days except where retention is legally required. Where retention is required, Campaid will disclose the reason and the duration. California residents have additional rights under the CCPA; EU/EEA residents have additional rights under the GDPR. See the Privacy Policy for details.
24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.
25. SMS TEXT MESSAGING
Program Description
By opting into any Twilio text messaging program, you expressly consent to receive text messages (SMS) to your mobile number, including account alerts, transaction notifications, and responses to inquiries. SMS is transactional only; Campaid does not send marketing or promotional messages via SMS.
Opting Out
If at any time you wish to stop receiving SMS messages from us, simply reply to the text with "STOP." You may receive an SMS message confirming your opt out. Standard account notifications may still be delivered by email.
Message and Data Rates
Message and data rates may apply to any SMS messages sent or received. Carriers are not liable for delayed or undelivered messages.

26. CALIFORNIA USERS AND RESIDENTS
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
27. MISCELLANEOUS
These Legal Terms, together with the Privacy Policy, Cookie Policy, Community Guidelines, and Refund Policy (each incorporated by reference), constitute the entire agreement and understanding between you and us and supersede all prior and contemporaneous agreements, representations, and warranties, whether written or oral. Our failure to exercise or enforce any right or provision shall not operate as a waiver of such right or provision. If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of any remaining provisions. In the event of a conflict among incorporated documents, the order of precedence is: (1) these Terms of Service; (2) the Refund Policy; (3) the Community Guidelines; (4) the Privacy Policy; (5) the Cookie Policy.
28. USER ELIGIBILITY, IDENTITY, AND STUDENT VERIFICATION
Age: Campaid is open to users eighteen (18) years of age or older. No person under eighteen (18) may create, own, or use an account under any circumstances. Any account identified as belonging to a user under 18 will be immediately suspended and permanently deleted. By creating an account you represent that you are at least 18 years of age.
Roles: One Campaid account carries both the Hirer and Tasker roles. Every registered account may act as a Hirer immediately upon signup. The Tasker role unlocks automatically when the account completes valid student verification via an institutional .edu email address whose domain matches a Campaid-designated active partner campus — no second click, opt-in, or separate application is required. As of the date of these Terms, the sole active partner campus is the University of Alabama at Birmingham (UAB). Additional campuses will be enabled on a rolling basis. Cross-campus transactions are permitted by design once additional campuses are active.
Verification: Taskers are subject to periodic enrollment re-verification. Revocation of .edu verification (e.g., graduation with domain deactivation) disables the Tasker role prospectively and does not affect the Hirer role. Ugig LLC reserves the right to deactivate any account that fails to meet eligibility criteria at any time.
Account security: You are solely responsible for all activity under your credentials and must notify support@campaid.net within twenty-four (24) hours of any suspected account compromise.
Date of birth: A date of birth must be provided at signup for age verification and COPPA compliance. Campaid does not permit use of the platform by persons under 18.
29. COMMUNITY GUIDELINES — TRIPLE-GATE ACCEPTANCE
In addition to accepting these Terms of Service at account creation, every user must accept the Campaid Community Guidelines (campaid.net/legal-center) at each of the following three gates:
- Gate 1 — Signup: Community Guidelines are displayed at account creation and acceptance is recorded on the user record.
- Gate 2 — First Post: The first time an account posts a Task, lists a ticket on the Ticket Counter, or lists an item on the Goods Marketplace, Community Guidelines must be re-accepted before the post completes.
- Gate 3 — First Application Accepted: The first time a Hirer accepts an applicant, or a Tasker's application is accepted, Community Guidelines must be re-accepted.
Existing users who have not yet satisfied a gate will be prompted to accept at their next attempt to perform the corresponding action. Refusal to accept at any gate means the corresponding action does not occur. Acceptance at each gate is stamped on the user record and logged. Each Task post, listing, and application acceptance produces an audit-log entry recording that the Community Guidelines were re-accepted for that specific action.
30. INDEPENDENT CONTRACTOR STATUS & TAX OBLIGATIONS
Campaid is a software marketplace, not an employer or agency. All Taskers are strictly Independent Contractors. Taskers are responsible for their own benefits, insurance, and tax withholdings. Ugig LLC does not withhold income tax, Social Security, or Medicare taxes on behalf of any Tasker.
Tax warranty: You represent and warrant that you will comply with all applicable federal and state tax obligations on your earnings through the platform, including self-employment tax. You understand that Campaid (via Stripe) may issue a Form 1099-K to you and to the IRS for your gross earnings above applicable thresholds. Campaid's reporting obligations do not constitute tax advice; consult a qualified tax professional for guidance on your specific situation.
Tax indemnification: Users agree to indemnify Ugig LLC against any tax liability, fines, or penalties arising from their failure to properly report earnings. You must provide a valid Taxpayer Identification Number (SSN/TIN) via Stripe for 1099-K reporting. Any attempt to provide a false TIN/SSN/EIN, or to misrepresent your employment status to the IRS or Alabama Department of Labor, constitutes a material breach of this Agreement and grounds for immediate permanent ban.
31. THE DYNAMIC BIDDING SYSTEM AND PLATFORM SERVICE FEES
Gigs (Tasks): Campaid uses a peer-to-peer blind-bid model for Gigs. The Hirer sets a Max Budget (never disclosed to any Tasker) and each Tasker applicant submits their Minimum Bid (never disclosed to the Hirer). The Task remains open while multiple Taskers apply. During the current testing phase, the Hirer manually reviews all applicants and selects one; upon selection, the agreed price is set at the midpoint: (Hirer Max Budget + selected Tasker Minimum Bid) ÷ 2. The minimum task posting price is $15.00. The Hirer's identity is not disclosed to losing applicants.
Platform service fees (product-specific — do not conflate):
- Gigs (Tasks): 12% of the agreed task price, added to the Hirer's checkout total. Minimum fee: $2.00. The 12% fee is charged to the Hirer. Stripe processing fees on Gig transactions come out of the 12% platform margin.
- Ticket Counter: a tiered seller fee computed on the final sale price — 5% for sales under $30.00 (minimum fee $1.00); 10% for sales from $30.00 through $149.99; 7% for sales of $150.00 and above. Campaid absorbs the Stripe processing fee on Ticket Counter sales.
- Goods Marketplace: the same tiered seller fee schedule as the Ticket Counter (5% / 10% / 7% by price band). Campaid absorbs the Stripe processing fee on Goods Marketplace sales.
All fees are charged in United States dollars and are non-refundable except as required by the Refund Policy or applicable law. Fee schedules may be revised prospectively with thirty (30) days written notice; prior transactions are grandfathered to the fee schedule in effect at the time of the transaction.
Negotiation rules: Gigs use the blind-bid midpoint model described above — open counter-offers are not exchanged on Gigs. Ticket Counter and Goods Marketplace listings carry a seller-controlled 'Open to Offers' toggle: ON (default) = buyers may purchase at the listed price or submit an offer; the seller may accept, counter, or reject. OFF = the listed price is firm. When a final negotiated price is agreed, that final price — not the original listed price — is the amount collected at checkout and the amount on which the tiered seller fee is computed.
Off-platform payment: Attempting or completing payment for any Campaid transaction outside of the Campaid platform (e.g., via Venmo, CashApp, Zelle, PayPal, or cash) results in: (a) immediate forfeiture of all platform protections and dispute-mediation rights; (b) permanent ban from the platform; and (c) a $50.00 USD liquidated damages fee per occurrence (representing a reasonable estimate of Campaid's lost platform revenue and administrative costs), which Campaid may collect through any lawful means.
32. BACKGROUND CHECK, TASKER VERIFICATION & STRIKE SYSTEM
Background checks: Campaid may offer Taskers the option to voluntarily submit to a background check through a third-party consumer reporting agency (e.g., Checkr). Background checks are strictly optional and self-paid by the Tasker ($25–$35 depending on the current provider rate). Taskers who complete a background check receive a 'Verified Background ✓' badge on their profile. Ugig LLC does not warrant the accuracy, timeliness, or completeness of any background check report, and a cleared check is not a guarantee of safe or appropriate conduct.
Required profile state for listing: To post a Task, a user must have a completed profile (photo uploaded, name, contact information) and must have accepted Community Guidelines at the applicable gate. To apply to a Task, a user must additionally have completed .edu student verification and Stripe Connect bank verification. To list a ticket or item in the Goods Marketplace, a user must have a completed profile, .edu student verification, and Stripe Connect bank verification. These gates are enforced in the platform code; attempts to bypass them constitute a material breach.
Security and platform controls: (a) Data at rest and in transit is encrypted (TLS 1.2+ in transit; Supabase at-rest encryption for database and storage). (b) All user-facing write endpoints are rate-limited per-IP. (c) Row-level security policies are applied to all database tables containing user data. (d) Administrator accounts are protected by passkey-based two-factor authentication. (e) Unhandled errors are captured by Sentry for monitoring. (f) The platform maintains kill-switch capabilities for maintenance mode, payment freeze, and listing freeze, activated by administrators to protect users.
Tasker strike system: Taskers are subject to a strike system for conduct that harms the platform or other users. Strike-generating events include (without limitation): (i) cancelling a confirmed Task after the Hirer has paid; (ii) failing to appear or complete work after confirming a Task; (iii) soliciting off-platform payment; (iv) receiving a valid Community Guidelines violation finding from Campaid. Three (3) strikes within any rolling one hundred eighty (180) day window result in automatic Tasker-mode suspension. Fraudulent, safety-threatening, or legally impermissible conduct may result in immediate permanent ban without strike accumulation. Appeals follow the Ban Appeal process in the Community Guidelines.
33. LIMITATION OF LIABILITY AND TOTAL LOSS FINANCIAL CAP
To the maximum extent permitted by Alabama law, Ugig LLC, its officers, founders, agents, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to bodily injury, death, emotional distress, lost profits, loss of data, or damage to goodwill. In no event shall the total cumulative liability of Ugig LLC to you for any and all claims exceed the lesser of: (a) $100.00 USD or (b) the total service fees paid by you to Campaid in the three (3) months immediately preceding the event giving rise to the claim. This cap applies even if Campaid has been advised of the possibility of greater damages. Some jurisdictions do not allow limitation of liability for personal injury or death, and in those jurisdictions our liability is limited to the maximum extent permitted by law.
34. GENERAL RELEASE OF LIABILITY AND MEETING SAFETY
Physical task risk: Users acknowledge that performing or requesting tasks (moving, cleaning, delivery, etc.) involves physical risk. You voluntarily assume all risks. You hereby release and forever discharge Ugig LLC from any claims arising from property damage or theft. Ugig LLC does not provide insurance coverage for users' personal property or medical expenses.
Meeting safety clause (verbatim, locked 2026-04-22): Any meeting between users arranged in connection with a Campaid transaction (delivery, handoff, task performance, ticket exchange, item handoff, or otherwise) is undertaken by the users in their personal capacities at their own risk. Users are strongly encouraged to meet in well-lit public locations, to bring a friend, to confirm identity through the Campaid platform before meeting, and to keep all communications within the Campaid messaging system prior to the meeting. Ugig LLC is not a party to any in-person meeting, does not supervise meetings, does not provide security, and is not responsible for any harm — including but not limited to property damage, bodily injury, emotional distress, theft, or loss — arising from or in connection with such meetings.
35. TICKET MARKETPLACE RULES AND VALIDITY DISCLAIMER
Campaid is a secondary marketplace; we do not own, verify, or guarantee the authenticity of any tickets sold. Users may only list tickets they physically possess or have an immediate legal right to transfer. Listing speculative or nonexistent tickets is grounds for a permanent ban. Ugig LLC is not liable for fraudulent tickets, voided entries, or venue-denied access. All ticket sales are "As-Is" unless the buyer opens a valid dispute within the twelve (12) hour buyer confirmation window.
Fake-product reporting: Each ticket listing exposes a dedicated 'Report fake / counterfeit / misrepresented' action. Two confirmed reports against a single listing automatically suppress the listing pending review. Sellers may be required to provide proof of purchase or other authenticity documentation. Trademark holders may submit takedown requests to support@campaid.net; infringing listings will be removed and repeat infringers permanently banned.
Open negotiation: The Ticket Counter operates as an open marketplace: the seller's asking price is publicly visible. Every listing carries a seller-controlled 'Open to Offers' toggle (ON by default). When 'Open to Offers' is OFF, the listed price is firm and the offer interface is hidden. Buyers and sellers may exchange messages within the offer thread and via the /messages system, subject to the automated monitoring notice in Section 7.
Users must comply with all applicable venue policies regarding the transfer of student-only or complimentary tickets.
36. GOODS MARKETPLACE RULES
The Goods Marketplace operates on the same platform-hold escrow and twelve (12) hour universal buyer confirmation window as the Ticket Counter. The same tiered seller fee schedule (5% / 10% / 7%) applies. Campaid absorbs the Stripe processing fee.
Seller affirmations: By listing an item in the Goods Marketplace, the seller affirmatively represents that: (a) the item is genuinely owned by the seller and free from any lien or encumbrance; (b) the item has been accurately described and photographed — material defects are disclosed; (c) the item is not stolen, counterfeit, or misrepresented; (d) the seller is legally permitted to sell the item; and (e) a minimum of three (3) photos are provided at the time of listing.
Fake-product / counterfeit reporting: Each listing exposes a dedicated 'Report fake / counterfeit / misrepresented' action. Two confirmed reports suppress the listing pending review. Repeat offenders are permanently banned. The open-negotiation model (seller 'Open to Offers' toggle) applies identically to the Goods Marketplace as described in Section 35.
37. ACADEMIC HONESTY AND UNIVERSITY REGULATIONS
Campaid explicitly prohibits any task that facilitates academic misconduct, including ghostwriting, taking exams on behalf of another student, completing graded homework, or any other activity that violates a partner institution's academic integrity policies. Users are prohibited from trespassing on any restricted campus property during the performance of a task. Campaid is not affiliated with any educational institution and does not report to or communicate with any institution regarding user activity, except as required by applicable law.
38. INTELLECTUAL PROPERTY, CONTENT LICENSING & NON-DISPARAGEMENT
Ugig LLC owns the Campaid brand, code, and platform design. Users grant Ugig LLC a perpetual, worldwide, royalty-free license to display any content they upload. We reserve the absolute right to moderate, edit, or delete any content containing explicit language, hate speech, harassment, or contact information used to circumvent platform fees. Ratings and reviews must be truthful; review manipulation or fake reviews are strictly prohibited.
IP assignment: By submitting any content, listing, review, or task deliverable through the platform, you represent and warrant that you either own all intellectual property rights in that content or hold all necessary licenses, rights, consents, and permissions to submit it and to grant the licenses described in Sections 2 and 9. You assign to Ugig LLC any and all rights, title, and interest in any feedback, suggestions, or improvements you provide regarding the Services.
Non-disparagement: You agree that you will not make, publish, or encourage any false, misleading, or disparaging statements — whether oral, written, or electronic — about Campaid, Ugig LLC, its founders, officers, employees, or platform, in any public or semi-public forum, including social media, review sites, news outlets, or academic publications. This clause applies during and after the term of your use of the Services. Breach of this clause constitutes a material breach of these Terms and may result in account termination and legal action for injunctive relief and/or damages.
39. MANDATORY ARBITRATION, FEES, TIME LIMITS & ENFORCEMENT
Binding arbitration and class-action waiver: All disputes are resolved by binding arbitration in Birmingham, Alabama, following the mandatory thirty (30) day informal negotiation period in Section 18. YOU WAIVE YOUR RIGHT TO TRIAL BY JURY AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
Statute of limitations: Any cause of action arising out of your use of Campaid or these Terms must be commenced within one (1) year after the cause of action accrued, or the claim is permanently and irrevocably barred. This limitation is in addition to any shorter limitation provided by Alabama law.
Non-refundable platform service fees: Platform service fees (see Section 31 for the product-specific fee schedule) are strictly non-refundable except where the Refund Policy or applicable law expressly requires a refund.
Off-platform liquidated damages: Any user who attempts or completes a payment for a Campaid transaction outside the Campaid platform shall forfeit all platform protections and mediation rights and shall be subject to a $50.00 USD liquidated damages fee per occurrence, representing a reasonable estimate of Campaid's lost revenue and administrative costs. Campaid may pursue this amount through any lawful means including referral to collections.
Fraudulent chargeback fee: Any user who initiates a fraudulent chargeback — defined as a chargeback filed with the card issuer after a Campaid transaction was successfully completed and the goods, services, or tickets were delivered as described — shall be immediately and permanently banned from the platform and shall be subject to a $100.00 USD fee plus any legal costs Campaid incurs in responding to the chargeback, to the extent permitted by Alabama law.
Attorneys' fees: In any dispute (whether arbitrated or, where applicable, litigated) in which Campaid prevails, Campaid shall be entitled to recover its reasonable attorneys' fees and costs. In any arbitration that the arbitrator determines was frivolous or brought in bad faith, all arbitration fees shall be allocated to the non-prevailing party.
